Terms of Service

Keyzi is a marketplace platform that connects car buyers with franchised dealerships for the purpose of facilitating new vehicle purchases at factory invoice pricing. Keyzi provides tools for buyers to submit vehicle requests, for dealers to respond with verified offers, and for both parties to access verified pricing information.

Keyzi is not a dealership, lender, insurer, or seller of record. We do not sell, finance, or take title to any vehicle. All vehicle transactions occur directly between the buyer and the participating dealer. Dealers listed on Keyzi are independently owned and operated franchised dealerships responsible for their own representations, warranties, and obligations.

Keyzi’s role is limited to: (a) operating the marketplace platform; (b) reviewing and verifying dealer-submitted pricing documentation; and (c) facilitating the connection between buyers and dealers through the deal unlock process.

By accessing or using the Keyzi platform — including the website, buyer request system, inventory marketplace, deal unlock feature, or dealer portal — you agree to these Terms of Service and our Privacy Policy. If you do not agree, do not use the platform.

If you are using Keyzi on behalf of a business entity, you represent that you have authority to bind that entity to these Terms, and these Terms apply to both you and that entity.

You must be at least 18 years old to use Keyzi. By using the platform, you represent that you meet this age requirement. The platform is intended for use within the United States only.

Dealer accounts require approval by Keyzi and are subject to the separate Dealer Participation Agreement. Approval is at Keyzi’s sole discretion.

Dealer accounts are created through the signup process and require a valid business email address. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.

• Provide accurate and complete information when creating an account
• Notify us promptly of any unauthorized use of your account
• Not share your account credentials with unauthorized third parties
• Not create multiple accounts to circumvent restrictions or violations

We reserve the right to suspend or terminate accounts that violate these Terms, provide false information, or engage in prohibited conduct.

Dealers participating on Keyzi are subject to the separate Dealer Participation Agreement and Subscription Terms, which are incorporated into these Terms by reference. By operating a dealer account, you agree to those agreements in addition to these Terms.

Dealers are solely responsible for the accuracy of their listings, the authenticity of submitted invoice documentation, and honoring the pricing they submit. Keyzi’s verification process is a review, not an audit or guarantee of accuracy.

The following conduct is prohibited on the Keyzi platform:

• Submitting false, misleading, or fraudulent information
• Uploading fake or altered invoice documentation
• Submitting pricing you do not intend to honor
• Creating listings for vehicles not in your verified inventory
• Circumventing the verification review process
• Using the platform for any unlawful purpose
• Attempting to access another user's account or data
• Reverse engineering, scraping, or automated extraction of platform data
• Attempting to circumvent subscription or billing requirements
• Engaging in bait-and-switch tactics or adding undisclosed mandatory charges
• Harassing, threatening, or abusing other platform users
• Creating multiple accounts to evade moderation or violations

Violation of these prohibitions may result in immediate account suspension, permanent removal from the platform, and where applicable, referral to law enforcement.

Keyzi reviews dealer-submitted invoice documentation as part of the listing approval process. This review is intended to increase transparency and deter fraudulent pricing, but it is not an independent audit and does not constitute a warranty or guarantee.

• Keyzi does not independently verify vehicle existence or condition
• Keyzi does not guarantee that submitted invoices are genuine
• Keyzi does not guarantee future vehicle availability
• Verified pricing reflects dealer-submitted documentation at the time of review
• Keyzi's review may contain errors or may not detect all fraudulent submissions

Keyzi reserves the right to review, reject, revise, suspend, or remove any listing, offer, or account at any time, with or without notice, for any reason including but not limited to violation of these Terms, suspected fraud, or to maintain the integrity of the marketplace.

Dealers may be required to submit revised documentation or listings if Keyzi identifies discrepancies during review. Repeated violations of platform standards will result in account suspension or permanent removal.

All decisions regarding moderation, verification, and account status are made at Keyzi’s sole discretion. Keyzi is not obligated to provide a reason for moderation decisions except as required by applicable law.

All payments on the Keyzi platform — including buyer unlock fees and dealer subscription charges — are processed through Stripe. By submitting payment, you authorize Stripe to charge the applicable fees to your payment method. Keyzi does not store full payment card details.

The $49 per-listing unlock fee is non-refundable once a checkout session is completed, as the deal sheet contents are immediately delivered. Dealer subscription billing is governed by the Subscription Terms.

The Keyzi name, logo, platform design, and all original content are owned by Keyzi, LLC and protected by applicable intellectual property laws. You may not reproduce, modify, distribute, or create derivative works without our written permission.

By submitting content to Keyzi (including listings, offers, and documents), dealers grant Keyzi a non-exclusive, royalty-free license to use, display, and process that content for the purpose of operating the platform. This license does not permit Keyzi to sell your content to third parties.

Keyzi may suspend or terminate your access to the platform at any time for any reason, including violation of these Terms, suspected fraud, or inactivity. We will make reasonable efforts to notify you of account suspension except where doing so would compromise the integrity of an ongoing review.

Upon termination of a dealer account, any active listings will be removed. Subscription billing will stop at the end of the current billing period unless terminated for cause. Per-listing unlock fees already processed are non-refundable.

THE KEYZI PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, KEYZI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

KEYZI DOES NOT WARRANT THAT: (A) THE PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE; (B) DEALS, LISTINGS, OR PRICING INFORMATION WILL BE ACCURATE OR CURRENT; (C) ANY VEHICLE WILL BE AVAILABLE AT THE QUOTED PRICE; OR (D) ANY DEFECT IN THE PLATFORM WILL BE CORRECTED.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KEYZI, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF — OR INABILITY TO USE — THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL KEYZI’S TOTAL LIABILITY FOR CLAIMS RELATED TO THESE TERMS EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO KEYZI IN THE 12 MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability will be limited to the extent permitted by law.

Keyzi may update these Terms at any time. We will notify active users of material changes by email or by prominent notice on the platform. Continued use of the platform after the effective date of updated Terms constitutes acceptance of the revised Terms.

We will maintain the effective date at the top of this page. We encourage you to review these Terms periodically.
